Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the website, mobile applications, point-of-sale (POS) software, and related services (collectively, the "Services") provided by Uzapoint Technologies Limited ("Uzapoint," "we," "us," or "our"), a company operating as part of the Savannah Technologies Group.
By accessing our website, creating an account, or using any Uzapoint Services, you ("User," "you," or "your") agree to be bound by these Terms. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you must not access or use the Services.
Description of Services
Uzapoint provides a point-of-sale and business management software platform designed for small and medium enterprises (SMEs), including but not limited to inventory management, sales tracking, invoicing, payment processing integrations, reporting, and related business tools. Uzapoint operates across multiple African markets, and certain features or third-party integrations may vary by country of operation.
Eligibility and Account Registration
3.1. You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.
3.2. To access certain features, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3.3. You must notify us immediately of any unauthorized use of your account or any other breach of security.
Subscription Plans, Fees, and Payment
4.1. Certain Services are offered on a subscription or transaction-fee basis, as described on our website or in your service agreement.
4.2. Fees are payable in advance unless otherwise agreed and are non-refundable except as required by applicable law or as expressly stated in a separate agreement.
4.3. We reserve the right to change our pricing. Where changes affect an active subscription, we will provide reasonable prior notice before the change takes effect.
4.4. Failure to make timely payment may result in suspension or termination of access to the Services.
4.5. Where payment processing is facilitated through third-party providers (for example, mobile money, card processors), your use of those services is also subject to the applicable third party's terms.
Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable local, national, or international law
- Attempt to gain unauthorized access to any part of the Services, other users' accounts, or Uzapoint's systems or networks
- Reverse engineer, decompile, or disassemble any part of the software, except where permitted by law
- Introduce viruses, malware, or other harmful code
- Use the Services to process fraudulent transactions or engage in money laundering
- Resell, sublicense, or redistribute the Services without our prior written consent
- Interfere with or disrupt the integrity or performance of the Services
We reserve the right to suspend or terminate accounts that violate this section.
Intellectual Property
6.1. All content, trademarks, logos, software, and materials associated with Uzapoint and the Services are the property of Uzapoint Technologies Limited or its licensors and are protected by applicable intellectual property laws.
6.2. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
6.3. You retain ownership of the business and transaction data you input into the Services ("Customer Data"), subject to the license you grant us in Section 7 to process it in order to provide the Services.
Data Protection and Privacy
7.1. We collect and process personal data and business data in accordance with our Privacy Policy and applicable data protection laws, including Kenya's Data Protection Act, 2019, and equivalent laws in other jurisdictions where we operate.
7.2. By using the Services, you consent to the collection, processing, and storage of data as described in our Privacy Policy.
7.3. You are responsible for ensuring that any personal data of your own customers that you input into the Uzapoint platform is collected and processed lawfully, and that you have the necessary rights and consents to share it with us.
Third-Party Services and Integrations
The Services may integrate with third-party platforms (for example, payment gateways, banks, mobile money providers, accounting tools). Uzapoint is not responsible for the availability, accuracy, or performance of third-party services, and your use of them is subject to their own terms and privacy policies.
Service Availability
9.1. We strive to ensure the Services are available and function reliably but do not guarantee uninterrupted or error-free operation.
9.2. We may suspend access for scheduled maintenance, upgrades, or circumstances beyond our reasonable control, and will endeavor to provide advance notice where practicable.
Limitation of Liability
10.1. To the maximum extent permitted by applicable law, Uzapoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Services.
10.2. Our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
10.3. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law.
Indemnification
You agree to indemnify and hold harmless Uzapoint, its affiliates within the Savannah Technologies Group, and their respective officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.
Termination
12.1. You may terminate your account at any time in accordance with your subscription agreement.
12.2. We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, engage in fraudulent or unlawful activity, or if required by law.
12.3. Upon termination, your right to use the Services ceases immediately. Provisions relating to intellectual property, liability, indemnification, and governing law shall survive termination.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the website or other reasonable means. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
Governing Law and Dispute Resolution
14.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles, unless a separate country-specific agreement applies to your use of the Services in another jurisdiction.
14.2. Any disputes arising out of or in connection with these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be referred to arbitration or the competent courts of Kenya, as applicable.
